Acceptance of Terms
By accessing or using the Laverion website (“Site”) and our consulting, advisory, or professional services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Important: If you do not agree to these Terms, you should not access or use our Site or Services.
Services
Laverion provides strategic consulting, advisory, and related professional services. The specific scope and terms of any engagement are governed by a separate agreement:
Statement of Work
Defines scope, deliverables, timeline, and fees for each engagement
Engagement Letter
Formalizes the client-consultant relationship and key obligations
Master Services Agreement
Umbrella terms for clients with multiple ongoing engagements
Intellectual Property
Laverion IP. All content on this Site — including text, graphics, logos, methodologies, and software — is the property of Laverion or its licensors, protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
Work product. Unless otherwise specified in a Statement of Work, deliverables created for a client engagement belong to the client upon full payment. Laverion retains rights to underlying methodologies, tools, and pre-existing materials.
Confidentiality
Both parties agree to maintain strict confidentiality of proprietary information disclosed during the course of any engagement. This includes business plans, financial data, technical information, and strategic materials. Confidentiality obligations survive the termination of any agreement for a period of three (3) years, unless a longer period is specified in the engagement agreement.
Payment Terms
Fees and payment schedules are defined in each Statement of Work. Unless otherwise agreed:

| Late payment | 1.5% monthly interest on overdue amounts |
| Expenses | Pre-approved out-of-pocket expenses billed at cost |
Limitation of Liability
To the maximum extent permitted by applicable law, Laverion shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunity — arising from or related to the use of our Site or Services, regardless of the theory of liability. Our total aggregate liability shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the event.
Indemnification
You agree to indemnify, defend, and hold harmless Laverion, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, misuse of the Site or Services, or violation of any applicable law.
Termination
Either party may terminate a Service engagement as specified in the applicable Statement of Work. Laverion reserves the right to suspend or terminate access to the Site at any time, with or without cause, upon notice. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in New York County, New York, except that either party may seek injunctive relief in a court of competent jurisdiction.
Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on the Site. Your continued use of the Site or Services after the effective date constitutes acceptance of the revised Terms.
